Xerox Financial Services, “XFS”, the $4 billion equipment financing arm of Xerox Corporation is in the midst of a transformation from a pure captive finco to a dynamic high growth global financing company. XFS currently focuses on leasing office equipment through an expansive Xerox-owned and independent dealer network, but is now branching out into financing intangibles, professional services, equipment of all types, cash-flow and asset-based financing, venturing beyond the traditional notion of a what a captive finance company can be. This transformation means creating an independent business unit with segmented financials, unique value proposition, state of the art technology and top talent.
This role, in particular, requires an experienced, highly motivated, energetic, and business-savvy in-house attorney to be the primary provider of legal services to XFS in the US. As XFS becomes a standalone business unit and targets new business opportunities, this candidate will have the opportunity to participate in all aspects of driving growth and reimagining the new XFS.
The successful candidate will be based either Cary NC, Moberly, MO or in Norwalk, CT, but we will consider an appropriately qualified virtual candidate. You will also work with XFS counsel in foreign markets in which we operate.
Provide general legal advice to all levels of XFS, including senior management, sales, administration, collection, asset management and portfolio management
Negotiate a myriad of agreements, including.
Lease agreements, including Cost-per-image, FMV and $1 out structures, with entities ranging from state/local governmental entities, sole proprietorships, law firms, major corporations, and more.
Software finance agreements, including Installment Payment Agreements, Software Leases, and agreements with software licensors to support our end-user finance agreements.
Dealer and Reseller agreements with suppliers, including review of all related third-party paper for possible assignment to XFS, Dealer RFPs with customers (as they may affect XFS financing activities), and servicing agreements related to private label structures.
Vendor Program Agreements with manufacturers and their dealer/reseller networks.
Draft agreements to support portfolio management, including workout agreements, non-standard assignments/assumptions related to dealer acquisitions, and addenda to reflect changes in deal structure.
Draft and update the captive’s forms template library to match current market standards, dealer requests and updates in law.
Consult on collection issues and dispute resolution with customers and dealers, including working with Xerox Recovery and/or outside counsel on litigation matters as required.
Consult on securitization and other periodic portfolio monetization activities.
Serve on XFS New Product Committee and advise on legal implications of new product categories and structures.
Be the primary contact with respect to financial institution regulatory compliance, including Fair Debt Collection Practices, privacy, disclosure requirements, usury, state licenses/charters, and potential forays into finance products beyond current panoply of offerings, including inventory finance, unsecured loans, software finance, asset-based finance and other “bank-like” activities.
Consult on and negotiate procurement contracts and software agreements with XFS as the client.
Providing guidance on, and marshalling appropriate resources to respond to, subpoenas, external audits and other outside requests for information.
Consult with XFS Transformation professionals on integrating the legal function with systems redesign and upgrades.
Provide training to junior documentation and administrative personnel on legal issues as necessary.
Negotiate deviations to non-disclosure agreements
The successful candidate must be expert in the following areas: equipment finance issues and marketplace; UCC Article 2A & Article 9; vendor finance structures and contracts, including service, cash control, indemnification and recourse; indirect sales channel financing issues; commercial finance captive compliance and regulatory issues; state/local government; sovereign immunity; software, service and other IP finance; and e-signatures.
Minimum of ten years’ experience as an attorney practicing in a combination of a major law firm’s commercial law department and corporate in-house department focused on negotiating, drafting and advising on commercial equipment & software finance transactions.
Strong depth of legal knowledge and communication skills that allow for expeditious identification and resolution.
Keen business sense, with the ability to find creative, business-oriented solutions to legal and contractual issues.
Experience addressing data privacy/security matters and counseling clients in finance company sector is a plus.
Familiarity with global contracting issues, as it relates to the US product offering, is a plus.
Exemplary analytical and interpretation skills; strong legal research, drafting and organizational skills; excellent (verbal and written) communications and interpersonal skills.
High professional ethics; good judgment; initiative; the ability to take independent and decisive action; the flexibility to prioritize and handle multiple tasks on competing deadlines; and a facility for working closely and cooperatively with business people, all levels of management, other staff members, a wide variety of customers, and dealer reps.
Juris Doctorate degree from a law school accredited by the ABA and licensed to practice law in at least one U.S. state.
Admission in good standing in the New York, Connecticut or other State bar, as applicable.
