Textron Systems, located in Hunt Valley, Md., is currently seeking a Contracts Business Manager with eight to ten years’ experience. In addition to providing contract leadership, advice and support to management and program teams, they will be responsible for all aspects of contract management throughout the contracting process, from pre-proposal activities through contract close-out. Specific responsibilities for this position will include:
Contracts Structure and Business Terms
Develop a clear understanding of customer and program requirements that harmonize with Textron Systems’ business strategy to ensure contract structure and business terms are aligned with both
Draft and negotiate corporate standard and non-standard non-disclosure agreements (NDA’s), teaming agreements, memoranda of understanding (MOU), bailment agreements and other non-standard agreements.
Identify and protect company’s intellectual property rights.
Review terms and conditions to address provisions and risks of financial terms, acceptance criteria, delivery requirements, warranty, intellectual property, termination provisions, indemnification and all other potential risk areas and recommend risk mitigation strategies
Recommend changes, additions, and deletions to the contract structure to ensure accurate reflection of customer requirements and alignment with Textron Systems’ program strategy and risk mitigation
Negotiate profit and provide profit justification to the customer, ensuring that the profit/fee is consistent with and appropriate for the contract type, identified program risks, market standards, internal investment requirements, and working capital considerations
Identify business risks associated with contract in partnership with mission assurance
Ensure flow down of required terms and conditions to subcontractors and that subcontractor terms and conditions are appropriate for the work being performed in relation to the prime contract
Work closely with and communicate effectively with the Contracts/Legal home office to coordinate review and approval of various documents.
Lead the development of a comprehensive negotiation strategy/plan working in conjunction with Program Team
When applicable, lead Integrated Product Teams (IPT’s) in preparation for negotiations
Define negotiation parameters through delegation process (including goals/limits)
Negotiate appropriate contract type, scope, price, profit and terms
Execute cost or pricing data certificate where required
Lead delegation process, ensuring assembling delegation package and proper sign-offs
Establish equitable payment terms, facilitate timely payments through coordinated oversight with Finance of invoicing process, and ensure customer compliance with payment terms
Ensure that the contract and statement of work are consistent with pricing assumptions to effectively manage financial risk related to contract terms and conditions, and that the underlying cost estimate is consistent with and appropriately addresses performance risk
Implement the change management process and coordinate with Program Management to ensure compliance and manage contract changes
Monitor contract cost performance in concert with Program Business Management and Finance
Verify with Program Manager that all technical requirements have been properly reviewed and a clear technical baseline is included in contract documents
Ensure that a verified schedule baseline is included in contract documents
Following contract award, communicate (together with the PM) contract, program schedule and SOW requirements to program team
Ensure compliance with program schedule as outlined in contract
Comprehensive knowledge and understanding of contracting principles and all contract types. Strong knowledge of the current acquisition regulations and other laws and regulations applicable to contracts.
Excellent interpersonal, leadership, management and mentoring skills.
Extensive knowledge of the federal acquisition process, government contracting principles and governing regulations (including FAR/DFAR).
Demonstrated experience in reviewing Terms and Conditions, identifying risk areas and proposing and negotiating more favorable terms.
Excellent contract drafting and negotiation skills and demonstrated experience in contract administration.
Sound understanding of commercial contracts, business agreements and general business practices.
Strong knowledge of subcontracting practices, accounting, finance, pricing, and estimating principles, and business law.
Demonstrated knowledge of international contract terms, ITAR and US import and export regulations.
Solid understanding of applicable military and commercial specifications and standards.
Strong business acumen, problem solving abilities, and good judgment.
Excellent oral/written communication, analytical and organizational skills.
Proven ability to effectively communicate with all levels of management and manage from remote site location.
Ability to work independently and manage multiple work assignments and meet critical deadlines.
High integrity and an unyielding commitment to compliance.
Willingness and ability to travel domestically and internationally.
Personal computer skill proficiency.
BA/BS degree in a related field required. Advanced degree a plus.
8-10 years demonstrated experience primarily with federal DOD and international contracts, including working directly with the DOD and Prime Contractors.
Advanced knowledge of intellectual property and software license agreements preferred.
Certified Professional Contracts Manager (CPCM) a plus.
Ability to obtain and maintain a US security clearance is required
